UpTube ("we," "our," or "us") provides a state-of-the-art, multi-agent artificial intelligence platform designed to analyze YouTube channel data, perform niche benchmark audits, synthesize video concepts, draft scripts, optimize SEO metadata, and format vertical video adaptions ("Service").

The Service orchestrates advanced language models and proprietary algorithms to deliver a complete content creation kit based on public and authorized channel metrics.

By creating an account, connecting a YouTube channel, or using any part of the UpTube platform, you ("User" or "you") agree to be bound by these Terms of Service. If you do not agree to these terms, you are prohibited from using the Service.

Your use of the Service is also governed by our Privacy Policy, Cookie Policy, and Refund Policy, which are incorporated by reference into these Terms.

• Registration: You must provide accurate, complete, and current information when creating an account.
• Security: You are solely responsible for safeguarding your login credentials and for all activities that occur under your account.
• Age Limit: You must be at least 13 years of age (or 16 in the European Union/United Kingdom) to register and use this Service.
• Account Limits: Account sharing is strictly prohibited. Each subscription is tied to a single user workspace unless a team/studio plan (which supports multiple seats) is explicitly purchased.

To enable deep channel analysis, script voice modeling, and automated tracking, UpTube allows you to connect your YouTube channel securely via Google OAuth.

• Data Access: We only access channel, video, and comment metadata explicitly authorized by you through Google's consent screen.
• YouTube TOS Compliance: By connecting your channel, you also agree to be bound by the YouTube Terms of Service and Developer Policies. We recommend reviewing the Google Privacy Policy to understand how Google manages your credentials.
• Disconnection: You can revoke UpTube's access to your YouTube channel at any time through your Google Security settings or directly from the UpTube dashboard. Disconnection will trigger the immediate deletion of cached channel metrics and voice models from our database.

UpTube operates using a combination of monthly subscription plans (Creator, Pro, Studio) and pay-per-use Credit Packages.

• No Free Trials: Subscription plans do not feature free trials. Charges are executed immediately upon subscribing.
• Subscription Credits: Plans allocate a set number of credits per month. On Pro and Studio plans, unused credits roll over up to the capped amounts specified in your plan details. On the Creator plan, unused subscription credits expire at the end of the billing cycle.
• Credit Packages: You may purchase standalone pay-as-you-go Credit Packages. These credits do not expire and will remain on your account balance until consumed.
• Pricing Adjustments: We reserve the right to modify subscription pricing or credit costs at any time, with 30 days notice to active subscribers.

You agree not to use the Service to:

• Generate scripts, titles, or concepts that violate YouTube Community Guidelines, copyright laws, or regulations.
• Use automated systems, bots, scrapers, or scripts to harvest, extract, or copy platform databases, competitor records, or analytics.
• Circumvent account limits, share subscription credentials, or bypass the platform's credit billing architecture.
• Reverse engineer, decompile, or attempt to extract the source code or proprietary prompt schemas of the UpTube multi-agent system.

• Your Inputs & Outputs: You retain full ownership of the text prompts, channel files, and transcripts you input into the Service. You also own all generated outputs, including video scripts, outline documents, video ideas, and title packages.
• Platform Ownership: UpTube retains all right, title, and interest in and to the platform's user interface, core code, AI agent configurations, branding, logos, and algorithm pipelines.
• Telemetry License: You grant UpTube a perpetual, non-exclusive, worldwide, royalty-free license to utilize anonymized, aggregated telemetry data generated during your usage (such as processing speeds, general prompt styles, and token volumes) solely to train, refine, and improve our AI model routing and algorithm outputs. No personally identifiable details are included in this telemetry.

ALL AI-GENERATED CONTENT IS PROVIDED "AS IS" without warranties of accuracy, legality, or suitability.

The outputs produced by our agents are recommendations and creative starting points. You are solely responsible for reviewing and editing all scripts, titles, and SEO metadata before producing or publishing video content to ensure compliance with YouTube policies, trademark regulations, and local laws.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, UPTUBE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, DATA, OR SUBSCRIBERS, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO UPTUBE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

These Terms of Service and any dispute arising from them shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to conflict of law principles. Any legal action or proceeding arising under these Terms shall be brought exclusively in the federal or state courts located in Wilmington, Delaware.
